1. Acceptance of Terms

By accessing or using The Break Daily’s website, newsletter, content, and services (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not access or use the Service.

These Terms constitute a legally binding agreement between you (“you,” “your,” “Subscriber,” “User”) and Badolla Enterprises(“we,” “our,” “us,” “The Break Daily”).

The Service is intended for users who are at least 18 years of age or the age of majority in their jurisdiction. By using the Service, you represent and warrant that you meet this requirement.

2. Account Registration & Security

2.1 Account Creation

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain and promptly update your account information
• Not create accounts through unauthorized or automated means
• Not share your account credentials with others

2.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use at support@thebreakdaily.com

We are not liable for any loss or damage arising from your failure to safeguard your account.

3. Subscriptions & Billing

3.1 Subscription Plans

• Free - No payment required
• Premium (Monthly) - Billed monthly at the then-current rate
• Premium (Annual) - Billed annually at a discounted rate
• Founding Member - Special launch pricing locked in for the lifetime of your continuous subscription

3.2 Payments

All payments are processed securely through Stripe, Inc. We do not store full credit card numbers on our servers. By providing payment information, you authorize us to charge the applicable fees.

3.3 Cancellation & Refunds

You may cancel your subscription at any time via your Account Settings or by emailing support@thebreakdaily.com.

4. Content Ownership & License

4.1 Our Content

All content published by The Break Daily is owned by or licensed to Badolla Enterprises and is protected by copyright, trademark, and other intellectual property laws.

4.2 License to You

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Access and view Content for your personal, non-commercial use
• Share excerpts (up to 100 words) with proper attribution to The Break Daily
• Print single copies for personal reference

4.3 Prohibited Uses of Content

You may not:

• Republish, redistribute, or syndicate Content without written permission
• Scrape, crawl, or use automated means to access Content
• Sell, sublicense, or commercially exploit Content
• Modify, create derivative works of, or reverse engineer any Content
• Use Content to train AI/ML models without explicit written permission

5. AI Disclosure

The Break Daily uses artificial intelligence (“AI”) in its content creation process. We classify our content into three categories:

All content, regardless of AI involvement, is reviewed and approved by a human editor before publication. See our full AI Disclosure Policy for details.

6. Prohibited Uses

You agree not to use the Service for any unlawful purpose or in violation of these Terms. Prohibited uses include:

• Illegal Activity - Violating any applicable law, regulation, or third-party right
• Harmful Conduct - Uploading malware, viruses, or harmful code
• Harassment - Threatening, harassing, defaming, or abusing others
• Fraud - Impersonation, phishing, false representation, deceptive practices
• Automated Access - Using bots, scrapers, or crawlers without written permission
• Resale - Reselling or redistributing access to the Service
• Circumvention - Bypassing paywalls, access controls, or security measures

8. Limitation of Liability

To the maximum extent permitted by applicable law:

1. No Liability for Damages. The Break Daily shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Service.
2. Cap on Liability. Our total liability shall not exceed the greater of the amount you have paid us in the 12 months preceding the claim or one hundred United States dollars ($100).
3. Investment Losses. We expressly disclaim any liability for investment losses, trading losses, or financial decisions made based on our Content.
4. Force Majeure. We are not liable for delays or failures caused by events beyond our reasonable control.

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

9. Termination

9.1 Termination by You

You may terminate your account at any time by cancelling your subscription or requesting account deletion via support@thebreakdaily.com.

9.2 Termination by Us

We may suspend or terminate your access to the Service at any time, without prior notice or liability, for breach of these Terms, harmful conduct, extended inactivity, or legal requirements.

9.3 Effect of Termination

Upon termination, your right to access the Service ceases immediately. We may delete your account and associated data, subject to our data retention obligations.

10. DMCA / Copyright Infringement

If you believe that any Content on the Service infringes your copyright, please provide our Designated Copyright Agent with a written notice containing the required information pursuant to the Digital Millennium Copyright Act (17 U.S.C. § 512).

11. Governing Law & Jurisdiction

These Terms are governed by the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions. Any legal action shall be brought exclusively in the federal or state courts located in Delaware, USA.

Dispute Resolution: Before initiating any formal dispute, you agree to contact us at legal@thebreakdaily.com to attempt informal resolution. Any unresolved disputes shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) in Delaware, USA.
